The following terms and conditions, together with any documents they expressly incorporate by reference and including any applicable privacy policy and “Additional Terms” (as that term is hereinafter defined) (collectively, these “Terms of Use” or “Terms”), govern your access to and use of the Website and services, including any content, functionality, products and services offered on or through Website, whether as a guest or a registered user (collectively, the "Services").
Please read the Terms of Use carefully before you start to use the Website. By using the Website, or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, found at http://www.authorportal.com/pages/privacy and incorporated herein by reference. If you do not agree to these Terms of Use or the Privacy Policy, you are not authorized to access or use the Website and must not access or use the Website or any portion thereof. If you are agreeing to these Terms for use by a business (e.g., a corporation) or other organization (each an “Organization”), you are agreeing to these Terms on behalf of that Organization, and such Organization accepts these Terms. You must have authority to bind that Organization to this Agreement; otherwise you must not sign up for, or otherwise make use of, the Services.
We provide a diverse range of Services, so additional terms or product requirements (including age restrictions) may apply (collectively, the “Additional Terms”). The Additional Terms will be available with the relevant Services. Such terms become part of your agreement with us if you choose to use those Services or, when this option is made available to you, by clicking to accept or agree to such terms. If there is a conflict between these Terms or Use and any Additional Terms, the Additional Terms will control for that conflict.
This Website is offered and available to users who are 18 years of age or older and who are not engaged in any business that is competitive with our business. By using this Website, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you are not authorized to access or use the Website or any portion thereof. If you are using the Services on behalf of an Organization, that Organization accepts these Terms.
Registration, User Names and Passwords. To access the Website or some of the resources it offers, you may be asked to register with us and/or provide or confirm certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current and complete. Without limitation of the foregoing, you may not use a user name or email address that belongs to or is already being used by another person; that may be construed as impersonating another person; that violates the intellectual property or other rights of any person; that is offensive; or that we reject for any other reason in our sole discretion
If you choose, or are provided with, a user name, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or portions of it using your user name, password or other security information. You are responsible for maintaining the confidentiality of any password you may use to access this Website and you agree not to transfer your password or user name or lend or otherwise transfer your use of or access to the Website, to any third party.
You are fully responsible for all transactions (including any information transmitted in connection with any transactions) and other interactions with the website that occur in connection with your user name. You agree to immediately notify us of any unauthorized use of your password or user name or any other breach of security related to your account, your user name or the Website, and to ensure that you "log off" and exit from your account with the Website (if applicable) at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. We are not liable for any loss or damage arising from your failure to comply with any of the foregoing obligations.
We have the right to refuse registration of any account, or disable any, account or user name, password or other identifier, whether chosen by you, provided by us or otherwise, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.
Without limitation of the foregoing, if you are agreeing to these Terms on behalf of an Organization the following additional provisions shall apply: we will issue to you, on behalf of the Organization (the “Account Manager”), an individual logon identifier and password (collectively, the "Account Manager Logon") for the purpose of administering the Organization’s use of the Services (including the authorization of users outside of the Organization to access Customer Data or other information included as part of the Services). [A1] Using the Account Manager Logon, the Account Manager will assign each of the Organization’s authorized users (each an “Authorized User”) a password and user identification (collectively, “Passwords and User IDs”) so that such Authorized User can use the Services. No Authorized User or other person is permitted to access the Services using the Password and User ID of any other Authorized User. The Organization will ensure that each of its Authorized Users (including the Account Manager) will: (a) be responsible for the secure use of his or her Password and User ID; (b) not disclose such Password and User ID to any third party; (c) not permit any other person or entity to use his or her Password and User ID; and (d) use the Services only in accordance with these Terms. The Organization will also be responsible for advising each of its Authorized Users of his or her obligations under these Terms and the restrictions set forth herein. Without limitation or your obligations hereunder, as between us and the Organization, the Organization will be solely and exclusively responsible and liable for any use or access of the Services by any person or entity gaining access to the Services through the use of the Account Manager Logon or any other Passwords and User IDs. The Organization and its Authorized Users will take all necessary precautions to preserve the secrecy of the Account Manager Logon, Passwords and User IDs and the security of the Services. We will have no responsibility for managing, monitoring, or overseeing the use of the Services by the Organization or its Authorized Users. The use of the Password and User ID assigned to any Authorized User (including the Account Manager) will be deemed to constitute the acts of such Authorized User (and therefore, of you), and we will be entitled to rely upon the actions, instructions and assent, without any obligation to otherwise verify the identity, of any person who gains access to the Services by means of such Password and User ID, including assent or other agreement to the terms of any clickwrap agreement or any other terms and/or conditions to which such Authorized User agrees and the Organization will be bound by such actions, instructions, assent and agreement.
The term “Authorized User” as used in this paragraph and elsewhere in the Terms shall include, as applicable, any individual user of the Website or Services, in addition to individuals acting on behalf of an Organization.
